Ying Yi advises on a range of corporate and corporate finance matters, with particular focus on mergers and acquisitions, venture capital and private equity investments and general corporate transactions. She is also a member of the firm’s Korea Desk.

Ying Yi graduated with a Bachelor of Laws and Bachelor of Commerce from The University of Western Australia, where she was a recipient of the St Catherine’s College Scholarship and the UWA Undergraduate Learning & Teaching Research Intern Scholarship.

Matter Experience


Corporate / Regulatory
  • Advised clients in various industries on general corporate and regulatory matters, including corporate restructuring, foreign investment, securities offerings, anti-trust/competition, anti-bribery, supply and distribution, franchise, employment and business establishment matters;
  • Acted as Singapore counsel to a large, multinational company specializing in e-commerce, cloud computing, digital streaming and AI on its corporate restructurings of foreign and domestic subsidiaries; and
  • Advised one of the bidders for ExxonMobil’s Singapore Esso petrol stations, reportedly valued at about US$1 billion, on the competition law aspects of the bid.
Mergers & Acquisitions / Joint Ventures
  • Acted as transaction counsel to a joint venture company backed by a global alternative investment firm, on its acquisition of a leading distribution group with businesses in Singapore and Indonesia;
  • Acted as transaction counsel to Thailand’s Betagro (SET:BTG) on its take-over and delisting of Eggriculture Foods Ltd (SEHK: 8609) for a consideration of HK$444.38 million. Eggriculture Foods is one of Singapore’s largest producer of eggs and related poultry products;
  • Acted as transaction counsel to a group in the integrated food and beverage industry in relation to an international joint venture with a leading Thai fruit beverage producer, for the manufacture and supply of certain food and beverage products;
  • Acted as Singapore counsel to ZircoDATA, on its acquisition of Shred-it, a secure document shredding, secure bin services and IT asset disposal service provider;
  • Advised M1 Holdings as transaction counsel on its acquisition of a majority stake in Glocomp Systems, a Malaysian-based ICT provider;
  • Acted as Singapore counsel to Netfin Acquisition Corp. (Nasdaq: NFIN, NFINW), a special purpose acquisition company on its de-SPAC business combination with Triterras Fintech Pte. Ltd., a leading Fintech company for commodity trading and trade finance with a presence in key trading centres across the world, including Singapore, the United Kingdom and United States of America. The aggregate consideration was US$585 million, comprising US$60 million in cash and US$525 million of shares in the publicly listed company;
  • Acted as Singapore counsel to a multinational software group listed on the New York Stock Exchange, on the restructuring of its Singapore subsidiaries by way of an amalgamation;
  • Acted as Singapore counsel to Korn Ferry (NYSE: KFY), on its acquisition of leadership development companies Miller Heiman Group, AchieveForum and Strategy Execution, from TwentyEighty, Inc.;
  • Advised an investment holding company on its acquisition of a group of companies in the business of operating fitness and gym franchises in Singapore;
  • Advised China Hongxing Sports Limited, a company listed on the Mainboard of the SGX-ST, on its disposal of Profitstart Group Limited for approximately RMB100 million, as an interested person transaction and a major transaction under Chapter 9 and 10 of the SGX-ST Listing Manual respectively;
  • Advised a company in the business of providing video analytics solutions, on its divestment of certain assets to a telecommunications group for S$7.3 million;
  • Acted as Singapore counsel to Santa Fe Group A/S, on the divestment of its records management business to Iron Mountain Information Management, LLC for EUR27.1 million; and
  • Advised a private equity firm on its auction bid for a group of 28 companies in the businesses of providing medical aesthetics services and the sale of related products in 8 different jurisdictions for US$26 million.
Private Equity & Venture Capital
  • Advised clients in various industries on general corporate and regulatory matters, including corporate restructuring, foreign investment, securities offerings, anti-trust/competition, anti-bribery, supply and distribution, franchise, employment and business establishment matters;
  • Advised one of the bidders for ExxonMobil’s Singapore Esso petrol stations, reportedly valued at about US$1 billion, on the competition law aspects of the bid;
  • Advised BEENEXT on its seed investment in a Singapore start-up specialising in fully autonomous “micro-kitchen” systems for the food-and-beverage industry;
  • Advised RushOwl, Asia’s AI-first shared mobility ride-sharing platform, on its US$10 million Series A financing;
  • Advised a company operating a sharia-compliant peer-to-peer lending system and a digital Islamic bank on its SAFE financing;
  • Advised Intudo and BEENEXT, the co-lead investors in Jago’s US$6 million financing. Jago is a mobile café company based in Indonesia;
  • Advised Intudo Ventures, the lead investor in:
    • Andalin’s Series C financing round. Andalin is an Indonesian-based digital freight forwarding platform;
    • JALA’s US$13.1 million Series A financing. JALA is digital ecosystem enabler for the shrimp industry in Indonesia;
    • iSeller’s US$12 million Series B financing. iSeller is Indonesia’s leading omnichannel point of sale platform for online and offline merchants;
    • Suryanesia’s US$2 million Series Seed financing. Suryanesia is an Indonesian solar-as-a-service operator which provides clients with access to clean energy; and
    • SerMorpheus’ US$2.5 million Series Seed financing. SerMorpheus is an Indonesian-based Web3 brand-retailer enabler platform;
  • Advised a company operating a platform providing digitalisation services for micro, small and medium enterprises in the food and beverage industry, on its US$13 million Series B financing;
  • Advised a company in the business of manufacturing and selling furniture, on its US$50 million Series A financing;
  • Advised a company in the business of operating restaurants and bars in Singapore on its early-stage financing;
  • Advised Intudo Ventures and Acrew Capital, the co-lead investors in Populix’s US$7.7 million Series A financing. Populix is an Indonesian-based consumer insights platform;
  • Advised Intudo Ventures and Cercano Management (previously Vulcan Capital), the co-lead investors in Nalagenetics’ US$12.6 million Series A2 financing. Nalagenetics is a Singapore-based genetic testing solutions provider;
  • Advised Pintu on its US$6 million Series A financing and US$35 million Series A1 financing. Pintu operates an Indonesian-based crypto trading platform;
  • Advised Deelish Brands, a company in the restaurant management business on its S$1.5 million Pre-Series A financing;
  • Acted as Singapore counsel to a US financial services company, on its Series A investment in a company in the business of providing global loyalty programme solutions;
  • Acted as Singapore counsel to Softbank Vision Fund, the lead investor in Klook’s US$425 million Series D+ financing. Klook is a travel activities and services booking platform;
  • Advised Insignia Ventures Partners on its investment in Ritase’s US$8.5 million Series A financing. Ritase is in the business of operating a trucking solutions platform;
  • Advised a company in the business of online payment solutions, on its US$3.25 million Series B financing; and
  • Advised Octopus Retail Management Pte. Ltd. on the S$3 million investment by M1 Telinet Pte. Ltd. (a wholly-owned subsidiary of M1 Limited).
Equity Capital Markets
  • Advised Southern Alliance Mining Ltd. on its initial public offering and listing on Catalist, the sponsor-supervised board of the SGX-ST (“Catalist”), which raised gross proceeds of approximately S$19 million. Southern Alliance Mining Ltd. was at the time of listing, engaged in the exploration, mining and processing of iron ore for subsequent sale, and had a market capitalisation of S$122.25 million;
  • Advised United Global Limited on its initial public offering and listing on Catalist, which raised gross proceeds of approximately S$10.7 million. United Global Limited was at the time of listing, an independent lubricant manufacturer and trader, and had a market capitalisation of S$70.7 million;
  • Advised Eindec Corporation Limited on its initial public offering and listing on Catalist, which raised gross proceeds of approximately S$7.52 million. Eindec Corporation Limited was at the time of listing, a regional clean air environmental and technological solutions group, and had a market capitalisation of S$22.6 million; and
  • Advised QT Vascular Ltd. on its Regulation S initial public offering and listing on Catalist, which raised gross proceeds of approximately S$55 million. QT Vascular Ltd. was at the time of listing, engaged in the design, assembly and distribution of advanced therapeutic solutions for the minimally invasive treatment of complex vascular diseases, and had a market capitalisation of S$211.6 million.
