Hyrum specialises in investment funds, with a focus on real estate investment trust transactions, including mergers, acquisitions/divestments, initial public offerings, debt financing and changes of trustee. He also provides regulatory advice on securities, funds, capital markets intermediaries, payment services and moneylending activities, including capital markets services licensing requirements, securities offering requirements and token offerings, and is also involved in a variety of general corporate matters, such as sale and purchase agreements and investment agreements.

Hyrum also has experience in financing transactions, including bilateral and syndicated loans, real estate development financing and acquisition financing.

Matter Experience


  • Acted for HSBC Institutional Trust Services (Singapore) Limited, as trustee of ARA LOGOS Logistics Trust, in the proposed merger with ESR-REIT by way of a trust scheme of arrangement, with a transaction value of approximately S$1.4 billion;
  • Acted as Singapore counsel to the REIT manager and the REIT trustee of CapitaLand Ascendas REIT in the acquisition of a logistics property in Brisbane, Australia for A$70.3 million;
  • Acted for HSBC Institutional Trust Services (Singapore) Limited, as trustee of AIMS APAC REIT, in its issuance of S$250 million 5.375% subordinated perpetual securities;
  • Acted for DBS Trustee Limited in the retirement of RBC Investor Services Trust Singapore Limited and appointment of DBS Trustee Limited as trustee of Lendlease Global Commercial REIT;
  • Acted for Perpetual (Asia) Limited, as trustee, in the US$773 million initial public offering and listing on the SGX of NTT DC REIT, a pure-play data centre REIT;
  • Acted for Perpetual (Asia) Limited, as trustee of Keppel DC REIT, in the acquisition of two hyperscale data centre for S$1.4 billion;
  • Advised various companies on their regulatory requirements under the Securities and Futures Act, Payment Services Act and/or Moneylenders Act in relation to proposed services and/or products, including issuance of digital tokens and operation of investment platforms;
  • Acted for a BNPL platform in its merger with a Singapore-based shopping and rewards platform, and in the subsequent exit of several investors of the BNPL platform; and
  • Acted for a Singapore fund manager on the establishment of a Singapore umbrella unit trust utilising blockchain technology to issue, transfer and redeem tokenised units in the sub-funds.
