Aditi Mathur heads the Firm’s India Practice. She is a partner in the Banking & Finance practice and the Environmental, Social and Governance practice of the Firm. She is a triple-qualified lawyer, with extensive experience in and qualifications to practice Singapore, Indian and English law.
She has expertise across a wide range of finance transactions including green and sustainable finance, acquisition finance, structured finance, real estate finance, ship finance, project finance, inter-bank borrowings and Indian external commercial borrowings. She brings value to her clients having handled deals from varied perspectives including that of lenders, borrowers, agents and trustees.
Aditi works regularly with leading Indian banks and corporates in cross-border transactions. Her key strengths are her deep knowledge and expertise of the legal, regulatory, cultural and business environment in India and her ability to act as a link for clients in India looking to do business in Singapore and the South-East Asian region, and vice versa.
Prior to joining Shook Lin & Bok, Aditi was an in-house legal counsel at the corporate legal department of ICICI Bank Ltd, one of India’s leading private sector banks, where she handled its acquisition financing and international corporate assets portfolios.
- Acted as lead counsel for a syndicate of banks in relation to a US$150 million Sustainability Linked Loan to an agri-commodities company;
- Acted for the Singapore Branch of a foreign lender in a S$70 million Sustainability Linked Loan to an international battery manufacturer;
- Advised the Singapore branch of a foreign bank in relation to setting up their green deposits offering in Singapore;
- Acted for a Navratna Government of India enterprise in relation to their INR 196 Crore project finance facility to fund a solar energy project in Punjab, India backed by Singapore-based sponsor and promoter companies;
- Acted in interbank lending for a leading Indian Non-Banking Financial Institution in respect of a US$30 million term loan facility from a European Development Finance Institution for the purpose of funding eligible borrowers and projects in the target sectors of energy efficiency, water efficiency and e-mobility;
- Acted for the syndicate of lenders in relation to their INR 857 Crore and INR 183 Crore project finance to the India-based SPV company of a Singapore-based sponsor in the renewables sector to set up of a large-scale commercial solar power project in Rajasthan, India;
- Acted for an Indian non-banking financial institution in relation to their INR 450 Crore facilities to a leading renewable energy company in India backed by sponsor support from the parent company of the borrower in Singapore;
- Acted for a leading Singapore-based real estate company in relation to the INR 425 Crore and INR 625 Crore Green Finance facilities granted to their subsidiary project companies in India in relation to the development of two green certified business parks in India;
- Acted for a syndicate of Chinese banks in relation to their US$200 million project financing loan to an Indonesian JV company of a Singapore based steel manufacturing and trading group;
- Advised a syndicate of Indian, Japanese and Taiwanese banks lending US$465 million and US$400 million on two separate occasions to one of India’s elite Navratna public sector companies;
- Lead counsel for a bank in the middle-east region in relation to a syndicated facility comprising term loans, revolving loans and standby letter of credit facilities to a Panama incorporated company for acquisitions and working capital requirements, secured inter alia by vessels and other assets spread across 10 different jurisdictions; and
- Advised the lenders in a real estate financing comprising a land loan and construction loan of S$191 million to a JV of two real estate companies for developing properties in South East Asia.
