Kelvin Wong specialises in local and cross-border financings. He is experienced in advising on various banking and financial transactions including secured and unsecured lending, acquisition financing, property financing, syndicated and bilateral lending and interbank borrowings.
He has represented local and international banks, financial institutions, real estate investment trusts, small and medium sized enterprises and multinational corporations in various financing transactions.
- Acted for the lender in the financing of the voluntary general offer for all the shares in the then SGX-listed company Asian Healthcare Specialists Limited, which is a medical group;
- Acted for the syndicated lenders in connection with the provision of S$600 million facilities to a business trust. The financing quantum of S$600 million was one of the largest on an unsecured basis and involved a complex financing structure with issues relating to shareholders, intercreditors, business trusts and ancillary regulations;
- Acted for a financial institution in its capacity as lender, agent and security agent in relation to the provision of S$500 million facilities granted to a Singapore incorporated company for the acquisition of a commercial and retail property located within Singapore’s prime shopping belt, Orchard Road for redevelopment into a mixed-use commercial development;
- Acted for a leading real estate group in relation to the provision of S$232 million facilities granted to it for the acquisition of a target company which owned a 30-storey Grade-A office building with 5-storey retail podium located in Xujiahui, one of Shanghai’s most vibrant business districts;
- Acted for a financial institution in its capacity as lender, agent and security agent in relation to the provision of S$146 million facilities granted to a leading property developer group in connection with its acquisition of a freehold property in District 10 located close to Singapore’s prime shopping belt, Orchard Road;
- Acted for the club lenders in relation to the provision of S$145 million facilities granted to a poultry processing and marketing group in connection with its acquisition of two target companies whose businesses are synergistic to the group’s core business;
- Acted for Oversea-Chinese Banking Corporation and DBS Bank Ltd., among others, in connection with the provision of US$100 million facilities to PT Cita Mineral Investindo Tbk, an Indonesia-based bauxite mining company, and its subsidiaries to refinance existing credit facilities and for working capital;
- Acted for the financing bank in the S$60 million acquisition of a JTC property by a leading footwear, bag and accessories maker from a semi-conductor group;
- Acted for the financing bank in the A$43.5 million acquisition of A-grade office towers located close to the Perth central business district by a joint venture between an engineering group and investment group. The acquisition was the first in Australia by the engineering group in its portfolio;
- Acted for a Singapore-based solar energy integrated manufacturing company in its capacity as a security provider in connection with the acquisition of its related company by one of the world’s leading producers of silicon materials, silicones, foundry products and carbon; and
- Acted for the lender as Singapore counsel in part financing the acquisition of The Stock Exchange, a Grade II property in Manchester, England.
