Catherine’s area of expertise is in asset and wealth management with a focus on REITs and investment funds. She advises on transactions through the lifecycle of a REIT – initial public offerings, financings, cross-border acquisitions and divestments, and mergers. Through her practice, Catherine has helped trustees navigate fiduciary obligations within an evolving regulatory regime and commercial pressures.
In the investment funds space, Catherine regularly advises fund managers and trustees on the establishment of and regulatory approvals for collective investment schemes (including a precious metal fund and tokenised funds) and on the retail and restricted offers of foreign funds in Singapore. She has also acted for these financial institutions on licence applications and ongoing regulatory compliance issues.
Catherine’s broader experience extends to general corporate matters which include private equity investments, joint ventures, and security token offerings.
- Advised Perpetual (Asia) Limited as trustee in the IPO of the first purpose-built accommodation REIT listed on the SGX, Centurion Accommodation REIT, which raised approximately S$770 million;
- Advised DBS Trustee Limited as trustee of Mapletree Commercial Trust in the S$4.2 billion merger between Mapletree Commercial Trust and Mapletree North Asia Commercial Trust with a combined portfolio that spans across Singapore, China, Hong Kong, Japan and South Korea;
- Advised HSBC Institutional Trust Services (Singapore) Limited as trustee of AIMS APAC REIT in the establishment of a S$750 million multicurrency debt issuance programme;
- Advised a leading Singapore real estate investment company in two joint venture investments in India business parks and commercial properties;
- Advised on the establishment of a VCC fund and the listing of its security tokens on ADDX, a digital capital markets platform; and
- Advised the acquiror of a capital markets services licensee in a successful change of control application pursuant to Section 97A of the SFA.
