Belle Teh specialises in banking and finance, with extensive experience in debt capital markets. She has acted as legal counsel in a wide range of transactions, including the establishment of multicurrency debt programmes and the issuance of bonds and convertible bonds. Belle has also advised on liability management exercises, including exchange offers and consent solicitations for SGX-listed issuers.
Her experience encompasses advising financial institutions, multinational corporations, and professional trustees and agents on a variety of complex financing transactions.
- Acted for CapitaLand India Trust Management Pte. Ltd., in its capacity as trustee-manager of CapitaLand India Trust, on its maiden issuance of S$100 million 4.40% subordinated perpetual securities under its S$1.5 billion multicurrency debt issuance programme;
- Acted for CIMB Bank Berhad, Singapore Branch (“CIMB”), The Hongkong and Shanghai Banking Corporation Limited (“HSBC”), Singapore Branch and Oversea-Chinese Banking Corporation Limited (“OCBC”) (as joint lead managers, bookrunners and green finance structuring banks on the issuance of S$150 million 4.00% green notes due 2029, and for CIMB, HSBC, OCBC and DBS (as joint lead managers and bookrunners and, in respect of CIMB, HSBC and OCBC, as green finance structuring banks) on the subsequent issuance of S$50 million 4.00% green notes due 2029 (to be consolidated and form a single series with the earlier issue), under the S$3 billion multicurrency debt issuance programme of OUE Treasury Pte. Ltd. and unconditionally and irrevocably guaranteed by OUE Limited;
- Acted for Centurion Corporation Limited on the 2025 update of its S$750 million multicurrency debt issuance programme, its exchange and tender offers in respect of the Series 6 notes for Series 7 notes, and the issuance of additional Series 7 notes pursuant to an upsize;
- Acted for Aspial Lifestyle Limited on the 2025 update of its S$300 million multicurrency medium term note programme, the exchange offer of in respect of its Series 4 notes for Series 5 notes, and the issuance of additional Series 5 notes pursuant to an upsize;
- Acted for iFast Corporation Ltd. on the establishment of its S$300 million multicurrency debt issuance programme and inaugural issuance of S$100 million 4.328% notes due 2029 under such programme;
- Acted for DBS Bank Ltd. and Oversea-Chinese Banking Corporation Limited (as arrangers and dealers), DBS Trustee Limited (as trustee), and DBS Bank Ltd. (as issuing and paying agent, agent bank, registrar and transfer agent) on the 2022 update of the S$2 million multicurrency debt issuance programme of F&N Treasury Pte. Ltd. (“FTPL”) and Fraser and Neave, Limited (“FNL”) and (in the case of securities issued by FTPL) unconditionally and irrevocably guaranteed by FNL;
- Acted for DBS Trustee Limited and DBS Bank Ltd. (as trustee and agents) on the 2022 update of the S$2 billion multicurrency debt issuance programme of Starhub Ltd, and for DBS Trustee Limited (as trustee) on the 2025 update of the same programme;
- Acted for a Mainboard-listed REIT on multiple bilateral loan facilities (S$50-S$90 million range), including a S$50 million green loan for a mixed-use development in Singapore;
- Acted for private funds on refinancings and convertible note/equity investments (US$0.6 million to US$350 million range), across Singapore and overseas markets; and
- Acted for a Shariah-compliant fund on the S$305 million divestment of a Singapore commercial property, and for an international logistics group on a S$46 million sale-and-leaseback financing transaction.
